Terms and Conditions

Our terms and conditions are written to protect the interests of our customers and ourselves.

Please read them carefully and make sure that you understand them.

FF-Host Terms of Service

Terms

FF-Host is a subsidiary of 3GIS Ltd (hereinafter referred to as “3GIS”), a provider of internet related services including web design, website hosting and domain name services. These Conditions set out the terms under which 3GIS will provide Services to the Client (as such terms are defined below).

To the extent that the Client is deemed to be a consumer (as defined by the Unfair Contract Terms Act 1977) then these Conditions will not affect the rights of the Client as a consumer and will apply to the extent that applicable law allows.

By using our services or updating files you are deemed to have accepted these terms and conditions. These Conditions are divided into four parts, however all parts may not apply in every case:

  1. Part 1 applies where the Services include web design/ workflow terms
  2. Part 2 applies where the Services include domain name registration services
  3. Part 3 applies where the Services include hosting services
  4. Part 4 applies to the payment terms
  5. Part 5 applies to compliance with the Law.

Definition

"Agreement"
the agreement between 3GIS and the Client for the provision of Services formed by the Order Confirmation(s)


Part 1 - Web Design/ Workflow Terms

01. The client informs us the type of work to be done with its specifications by filling the Quote Request form.

02. A costing mail shall be send to the client for approval of the project cost from our Marketing Team

03. On getting approval, in the case of web hosting and domain registration service, the client will be sent payment details and is requested to pay 100% of the service cost. See point 04 below on web design.

04. On getting approval, in the case of web design service, the client is requested to pay 50% of the project cost.

05. On reciept of the amount, the project shall start its first module.

06. On approval of the web design demo, the project shall start its way to the final stage. The client can decide at this stage to cancel the order. Should you decide to cancel, please note that 20% of the deposit of 50% will be deducted as administrative cost .
For instance, if a 50% deposit of £100 is paid and you decide to cancel, then only £80 will be paid back to you.

07. The website/ work shall be uploaded/sent to the client for trial run for a period of one week

08. After successfull running of the project, the client is requested to pay the rest 50% of the project cost

09. On recieving the second half of the project cost, the website codes shall be uploaded to client's domain and made active

10. The site will be submitted to major search engines.

Hint: If you have your own design for your website, you can save up to 50% in website development costs.

Note: The Service team at FF-Host will regularly monitor and take care of the website/work for the agreement period. All updates, maintenance and changes other than the ones mentioned in the project package will be charged according to the effort taken for each module or work done. All expenses other than the offered package cost shall be beared by the client.


Part 2 – Domain Services

  1. 3GIS will provide the Domain Services to the Client upon the terms and conditions set out in this Part 1.
  2. The Client undertakes and warrants to 3GIS that the registration of any domain name requested by it (a “Requested Domain”);
    1. and the manner in which it is to be directly or indirectly used will not infringe any third party rights; and
    2. is not being made in bad faith or could be considered to be an abusive registration under the ICANN or Nominet dispute resolution policies, whichever is appropriate.
    The Client also confirms and warrants that any Requested Domain is not being registered and will at no time whatsoever be used for any unlawful purpose.
  3. The Client acknowledges that, whilst 3GIS will use its reasonable endeavours to register a Requested Domain, 3GIS will not be obliged to accept any request to register or continue to process any registration of a Requested Domain.
  4. The Domain Services are limited to forwarding the application for registration to the relevant naming authority, providing reasonable administration services in relation to the application and notifying the result of the application to the Client within a reasonable period after communication from the authority. 3GIS will use reasonable endeavours to notify the Client of any renewal dates however 3GIS accepts no liability for the loss of registration of any Requested Domain
  5. The Client will check that the domain name as reported on all documents sent to and from the Client (such as invoices and e-mail notifications and forms) is spelt correctly. The Client will notify 3GIS of any incorrect spellings of a Requested Domain promptly and in any event within 24 hours of receiving such document.
  6. The Client will at all times comply with the terms and conditions (from time to time subsisting) applying to the registration of domain names published by the relevant naming authority (including the domain dispute resolution policy of that authority) and any other authority having similar force.
  7. If the Client wishes to transfer ownership of a Requested Domain then it will procure that all necessary consents to that transfer are obtained and will deliver up to 3GIS, on demand, documentary evidence of that all such consents have been obtained. The Client agrees that prior to transferring ownership of a Requested Domain to another person (the "Transferee") the Client will procure that the Transferee agrees in writing to be bound by the terms of the Agreement. A Requested Domain will not be transferred until 3GIS receives such written assurances as it requires that the Transferee is bound by the terms of the Agreement.
  8. The Client agrees and acknowledges that 3GIS will make registration information provided by the Client in relation to the Requested Domain available to ICANN, Nominet or any other appropriate registration authority, the registry administrators, and other third parties as applicable laws may require or permit including the police or other enforcement authority. The Client further acknowledges that 3GIS may make publicly available, or directly available to third party vendors, some, or all, of the domain name registration information provided, for purposes of inspection (such as through the WHOIS service) or other purposes as required or permitted by ICANN, Nominet and applicable law. The Client consents to any and all such disclosures, whether during or after the term of registration of the Requested Domain. The Client irrevocably waives any and all claims and causes of action arising from such disclosure or use of the domain name registration information by 3GIS.
  9. Domain name registrations cannot be cancelled and are not refundable.


Part 3 – Hosting Services

You must agree to the following terms and conditions to have your web site hosted by FF-Host.

Allowed content

FF-Host does not allow storage and/or display of the following material on its servers. This includes uploading to web sites, or transmitting by any material (by e-mail, uploading, posting or otherwise).

  1. Adult Sites: We prohibit any adult (pornographic) web-sites on our servers, including pedophile sites, sites linking to pornographic sites (outside links) and even pornographic advertisements on your own site.
  2. Illegal use: FF-Host services may not be used for illegal purposes, or in support of illegal activities.
  3. Copyright or trademark infringement: Use of the FF-Host service to transmit any material (by e-mail, uploading, posting, hot linking, directly linking or otherwise) that infringes any copyright, trademark, patent, trade secret or other proprietary rights of any third party, including, but not limited to, the unauthorized copying of copyrighted material, the digitization and distribution of photographs from magazines, books, or other copyrighted sources, and the unauthorized transmittal of copyrighted software.
  4. Distribution of Viruses: Intentional distributions of software that attempts to and/or causes damage, harassment, or annoyance to persons, data, and/or computer systems are prohibited. Such an offense will result in the immediate termination of the offending account.

Spamming

Spamming (sending unsolicited commercial or bulk emails) using our servers is strictly not allowed. DO NOT SEND SPAM EMAIL FROM OUR SERVERS.

Sending spam emails which include links to a web site hosted on one of our servers is also forbidden. We reserve the right to suspend or terminate any site that is linked to from spam emails.

To protect our servers we may impose limits on the number of emails sent within a particular time frame from our servers.

Usenet Spamming: We have a zero tolerance policy for the use of our network for the posting of messages or commercial advertisements, which violate the rules, regulations, FAQ or charter of any newsgroups or mailing list. Commercial messages that are appropriate under the rules of a newsgroup or mailing list or that are solicited by the recipients are permitted.

Server Use

We want to allow our customers to use our servers the best way, but in order to protect other users, we may, temporarily or not, suspend a site if this site slows down our servers or uses too much bandwidth. In this case, we will try to find a solution together with the customer.

You may not use your site to publish material, which FF-Host determines, at its sole discretion, to be unlawful, indecent or objectionable. For purposes of this policy, "material" refers to all forms of communications including narrative descriptions, graphics (including photographs, illustrations, images, drawings, logos), executable programs, video recordings, and audio recordings.

The following constitute violations of FF-Host terms and conditions:

  1. Illegal use: FF-Host services may not be used for illegal purposes, or in support of illegal activities. FF-Host reserves the right to cooperate with legal authorities and/or injured third parties in the investigation of any suspected crime or civil wrongdoing.
  2. Harm to minors: Use of the FF-Host service to harm, or attempt to harm, minors in any way, including, but not limited to child pornography.
  3. Threats: Use of the FF-Host service to transmit any material (by e-mail, uploading, posting or otherwise) that threatens or encourages bodily harm or destruction of property.
  4. Harassment: Use of the FF-Host service to transmit any material (by e-mail, uploading, posting or otherwise) that harasses another.
  5. Fraudulent activity: Use of the FF-Host service to make fraudulent offers to sell or buy products, items, or services, or to advance any type of financial scam such as "pyramid schemes," "ponzi schemes," and "chain letters."
  6. Forgery or impersonation: Adding, removing or modifying identifying network header information in an effort to deceive or mislead is prohibited. Attempting to impersonate any person by using forged headers or other identifying information is prohibited. The use of anonymous remailers or nicknames does not constitute impersonation.
  7. Unsolicited commercial e-mail / Unsolicited bulk e-mail (SPAM): Use of the FF-Host service to transmit any unsolicited commercial or unsolicited bulk e-mail is expressly prohibited. Violations of this type will result in the immediate termination of the offending FF-Host account.
  8. Unauthorized access: Use of the FF-Host service to access, or to attempt to access, the accounts of others, or to penetrate, or attempt to penetrate, security measures of FF-Host's or another entity's computer software or hardware, electronic communications system, or telecommunications system, whether or not the intrusion results in the corruption or loss of data, is expressly prohibited and the offending account is subject to immediate termination.

Server maintenance

We might have, from time to time, to upgrade our servers or replace an old server with a new one. We reserve the right to suspend access to such server during the required time to do the upgrade or exchange the server, for no more than 4 hours. In this event, the users are sent an e-mail at least 24 hours before the due date and time for upgrade.

Responsibility

FF-Host can not be held responsible for any damage caused to your business or yourself, even if the damage is directly caused by one of our employees. FF-Host cannot be held responsible for any loss of data or service interruption, but will do its best to help the customer.

You, as a FF-Host customer, are solely responsible for the content stored on and served by your web site. You must maintain adequate backups of your content.

Technical Support

FF-Host provides technical support to our customers via a support ticket system. We limit our technical support to our area of expertise. FF-Host provides support related to your web site physical functioning. FF-Host does not offer technical support for application specific issues such as PHP or cgi programming, html, script installation or any other such issue. There are links in the members area to other web sites that can help with such issues.

Modification

We may modify any of these terms and conditions contained, at any time and in our sole discretion, by posting a change notice or a new agreement on our site. Your continued participation now, or within thirty (30) days following the posting notice of any changes in these terms and conditions, will constitute a binding acceptance by you of such rules, changes or modifications. If any modification is unacceptable to you, your only recourse is to terminate your account(s). In this case, a pro-rata repayment of web hosting costs will be made.

Uptime Guarantee

We have an availability guarantee of 99.99% availability per month. If this is not met, we will, on request, credit your hosting with 1 day for each hour your site is down, up to a maximum credit of 30 days in any calendar month.

Termination and Suspension

You may terminate your hosting at any time by advising us via a support ticket that you wish to do so.

We may terminate or suspend (temporarily or indefinately) your hosting if you violate any of our terms and conditions. We may suspend your hosting where we have reason to suspect a violation of our terms and conditions whilst we investigate the suspected violation.

Cancellation and refund

FF-Host will accept a request to cancel a web hosting account and give a full refund to a new customer who requests such refund and cancellation within 30 days of ordering.


Part 4 - Payment Terms

FF-Host online payment solution uses Paypal email payment. This is achieved by FF-Host requesting payment from its client via a secure email platform customized by Paypal. PayPal’s world-class security systems help protect customer information and it's industry-leading fraud-prevention measures help protect you against fraud.This solution accepts all major forms of payment including credit cards, bank transfers and debit cards.

The payment terms are as set in the conditions below;

  1. The Fees are payable to 3GIS subject to the following conditions:
    1. Fees payable monthly or yearly will be paid in advance and will not be refundable in whole or part if the Agreement or relevant part is terminated during the period to which the payment relates;
    2. any set up fee will (unless stated to be included within later payments) be payable immediately;
    3. additional Fees will become payable if the Client exceeds agreed or stipulated bandwidth use levels.
  2. Any total sum for the fees set out in an Quote Request Form is (unless stated in the Quote Request Form to be a fixed and firm amount) an estimate of the fees only and not a fixed price quotation.
  3. Any sums payable by the Client to 3GIS under the Agreement are exclusive of value added tax or any similar taxes, levies or duties, which will be added to such sums and be payable by the Client at the appropriate rate.
  4. The Client agrees to pay 3GIS's invoices within 7 days of invoice due date. If invoices are not settled in full by then, the Client will without prejudice to its other rights and remedies, have its service suspended or pay interest of 2% on everyday delayed until payment is fully made
  5. All sums payable to 3GIS under the Agreement must be paid in full with no set off or deduction.
  6. All refunds will be made within the first 60 days of the transfer under the Agreement.
  7. Where the Client authorises payment of any of the Fees by credit card then 3GIS may deduct other amounts becoming payable to it under the Agreement under that credit card without obtaining additional authorisation from the Client.
  8. Without prejudice to any other of its rights and remedies, 3GIS will be entitled to remove the Client's data from its systems if any amount due under the Agreement is not paid within 21 days of its due date for payment. 3GIS is not required to back up such data or return the same to the Client prior to any such removal or following termination of the Agreement.
  9. Domain name registrations cannot be cancelled and are not refundable.


Part 5 – Compliance with the Law

Compliance with the Law

It is an offence under the law to transmit, receive or store certain types of files.

Customers may not use our services to engage in activities, or store, transfer or receive material of an indecent, offensive or otherwise illegal nature.

Compliance with foreign law

The Internet is global in reach. Consequently it is possible for anyone using the internet to break the laws of foreign countries. Customers are therefore advised to take all reasonable steps to avoid breaching relevant foreign laws.
